First: the definitions

In this agreement, and unless the context requires otherwise, the following terms shall have the meanings indicated.

"Wow", "store", "we", "first person" or "possessive pronoun": refers to the location of Woow.co And Harf Al-Waw Corporation for Trade and Marketing in the Kingdom of Saudi Arabia.

"User" or "you" or "proprietary pronoun to address": means the person who visits the store, uses it, or registers a membership in the store.

(2) This agreement is a valid contract complete with legal conditions and principles, enforceable in the face of all the aforementioned parties, and its provisions and obligations are binding on them all, and no one may dissolve or terminate it as long as it produces its legal effects.

(3) All parties acknowledge that this agreement constitutes the entire agreement between them, and they have agreed that they have not relied on any assurances, whether verbal or written, in agreeing to this agreement other than the provisions indicated therein.

(5) Contracts complementary to this agreement are an integral part thereof, and the terms and conditions applicable to this agreement shall be applicable to them, and are linked to this agreement that does not accept division in existence or otherwise.

(6) Amendments to this Agreement shall have the same provision and legal effect as this Agreement.

Fourth: approval and legal capacity

You acknowledge that you have the necessary legal capacity to enter into and agree to this Agreement, and that you have full, unrestricted legal powers under the following conditions:

(1) The capacity and consent of a natural person

Eighth: the policy of providing products

"Woow.co" store is keen to provide all legal pledges and guarantees to the customer, in accordance with the legal provisions in force in the Kingdom of Saudi Arabia, as follows:

(1) The store guarantees that it has all legal rights and powers to sell products, and it also guarantees that it obtains all necessary permits to sell the product.

(2) The store undertakes to announce the prices of the products clearly through the store, and that this price is written on the products when they are delivered to the customer, and the customer may request an invoice for the products that he purchased from the store.

(3) The store guarantees that all information, images and files related to the products it provides on the store are correct, accurate and legal, and reflect the store's products.

(4) The store guarantees that no false or misleading information is published about its products, and that the display of the products is characterized by commercial legitimacy.

(5) The store undertakes to make the utmost efforts to obtain guarantees from the product manufacturers, if any, and according to this agreement assigns those guarantees to the customer within the permissible extent.

(6) The store undertakes to deliver the products to the customer upon the deadline of delivery agreed upon between the two parties, in accordance with the specifications announced on the sale page, and that the delivery is done in a professional manner in accordance with the provisions of this agreement.

(7) The electronic sale process takes place according to the availability of the products at the store, and therefore the customer relieves the store from any liability in the event that the products are not available at the store or the quantity runs out.

(8) The products are provided according to the specifications declared on the sales page, and therefore the store is not obligated to provide any additional features or advantages after the product is delivered to the customer.

(9) The store does not guarantee that all the products meet the customer's expectations when used, and therefore the customer accepts them in the condition they are in at the time of purchase.

(10) If the customer buys quantities of products with the aim of selling them, the store does not guarantee the customer's ability to market these products, nor the extent of their popularity or obtaining profits from reselling them.

(11) The store retains ownership of the product content and all images and visual files, and enjoys the rights to publish them at any time.

Ninth: Sales Policy for Customers

(1) The customer can buy the products offered for sale through the store if these products are available and ready for sale.

(2) The customer is obligated to select the product to be purchased accurately in accordance with the specifications he wants and available through the store before submitting the purchase order.

(3) In the event that the customer determines the type of the required product, and submits the purchase order, he shall not have the right to withdraw or cancel this request without the approval of the store, and submitting the purchase order is a final acceptance by the customer of the products in question.

(4) The customer is obligated to pay the price of the product advertised through the store, in the methods specified by the store.

(5) We may ask you at any time for further verifications, including the full name of the customer, his national identity number, his detailed address, his phone number and other information that we may deem necessary to complete the shipping process.

(6) Before the date of delivery of the products sold to the customer, and in the event that the customer violates this agreement, the store shall have the right to cancel this agreement, with immediate effect and without any judicial notifications or announcements, while the store reserves the right to any appropriate compensation.

(7) If the customer fulfills all of his payment obligations and the store is unable to deliver the products to be purchased on the date of delivery, then the customer may give the store a notice to end the sale.

(8) The process of shipping the products to the customer is done at the request of the customer and according to the shipping policy of the store.

(9) The store retains full ownership rights over the products sold to the customer until it receives the full price of purchasing the products with the specified payment methods.

(10) The customer undertakes not to dispose of selling the products in question, except after paying the full price of the products in addition to the shipping fee, and he undertakes to complete the payment processes in the event that the payment is partially made by mistake.

(11) If the customer receives the products, he must verify their condition and compliance with the specifications as soon as he receives them, and the store does not guarantee a defect that is customarily tolerated.

(12) The customer, after receiving the products, must comply with all regulations and instructions related to their use or preservation.

(13) The customer is bound by all the policies followed by the store, including the policies of payment, shipping, return and use of the products.

(14) The customer shall comply with all provisions of applicable laws, decrees and regulations.

(15) The store reserves the right at any time to refuse or cancel purchase orders if we cannot verify the customer's information and address, or if it is suspected that the order may cause credit card fraud.

(16) The customer is allowed to make evaluations on sales operations, and the customer undertakes not to abuse this right and that the reviews are honest and expressive of the service performance, and are in accordance with our evaluation policy.

Tenth: Payment Policy

(1) Payment for products shall be made in Saudi riyals.

(2) The customer shall review the prices of the products and make the final decision regarding the purchase process before proceeding with the payment process, and the customer knows and agrees that these prices are final.

(3) The customer is obligated to pay the prices of the products that he decided to buy through the store with the payment methods approved by us.

(4) Payment methods approved by us: The customer can pay for the products by one of the following methods:

  • Payment is "cash" upon delivery.
  • Electronic payment through electronic payment methods available through the store or our electronic applications.

(5) The store does not accept the result of any errors in the payment process made by the customer, and the store is not responsible for any piracy or fraud that occurs on the customer's credit cards or bank accounts.

(6) The customer bears all bank fees related to money transfers or payment for the products.

(7) The amounts paid by the customer to the store are final and may not be modified by increase or decrease, and may not be refunded except with the approval of the store.

(8) The customer shall bear all government fees and taxes related to his use of the store or his entry into electronic sales, including all taxes imposed on products and value added tax.

Eleventh: Shipping Policy

(1) The customer bears the cost of shipping the products, and the shipping is done through companies approved by the store such as (SMSA, Aramex), and the store sometimes offers free shipping on some products (and this will be announced explicitly on the product page), and the store offers Free shipping for products whose value exceeds SAR 399.

(2) Products are shipped to the customer within a period ranging between 3 to 7 business days.

(3) The customer undertakes to keep electronic receipts of payment that may be required of him during the delivery of products to him, and also undertakes to sign the receipt of the product.

(4) The customer is obligated to pay for the products he requested to purchase (if he did not pay by electronic means) in addition to the shipping fee (if any) upon receiving the products upon delivery.

(5) The customer undertakes to inspect the products before signing to receive them from the freight representative, and he acknowledges that his signature on receipt is conclusive evidence that the products are free from any apparent defects such as damage, breakage and defects.

(6) The store is not responsible in front of the customer regarding the delay in the delivery date of the products in the event of any emergency situation outside of control such as force majeure, for example, but not limited to floods, storms, acts of war, and public events ... etc.

(7) In the event that the store delays delivery of the sold products due to force majeure so that it becomes clear that the delivery of the sold products is not possible on the specified delivery date, the store here shall immediately inform the customer of those circumstances and provide the customer with a new delivery date.

(8) During the delay period, the customer's responsibilities regarding the payment shall cease until the circumstances of force majeure are addressed, and after dealing with the force majeure circumstances, the payment obligations by the customer are completed.

(9) The customer undertakes to treat the freight representative in good terms, and bears all legal responsibility for any personal mistakes made by him against the freight representative, and the store disclaims his responsibility for any personal mistakes that the freight representative makes against the customer.

(10) In the event that the customer refuses to receive the products from the freight representative despite their conformity with the declared specifications, then the customer is deemed to have received the products judicially, and he is obligated to pay for the shipping process amicably or judicially.

(11) The customer is required to adhere to the store's shipping policy, which may change from time to time.

Twelfth: Return Policy

The store sets a return and exchange policy to ensure that the buyer is satisfied with the product that he purchased from the store, and the return and exchange is subject to the following conditions:

(1) The store gives the buyer the right to request the return or exchange of products within 14 days from the date he received the product from the store.

(2) The store accepts the return or exchange of products only if the following conditions are met:

  1. 1. The buyer shall not use the products, open them, or obtain any benefit from them.
  2. 2. Not to destroy the products or have any defects after receiving them from the shipping company.
  3. 3. Not to destroy the packaging of the products, or to lose any of the products' accessories.

  5. 5. Regarding clothes, the store accepts returning clothes in two cases (the first: if the clothes have manufacturing defects, and the second: if the clothes do not conform to the specifications requested by the customer).

(3) In the event that the return or exchange is due to a defect in the product, the store shall inspect the product, and if it is proved that the defect is due to the product, the store shall bear the shipping, return and exchange costs.

(4) In the event that the return or exchange is due to a reason due to the buyer and is not a defect in the product, then the buyer bears all the costs of returning, shipping and replacing the product.

(5) In the event that the store refuses to request a return or exchange of the product provided by the buyer, and the buyer refuses to receive the products again, the store in this case has the right to dispose of these products after 15 days have passed from the date of the buyer's rejection.

(6) In the event that the return request is accepted, the store shall refund the price of the product to the customer within 15 working days from the date of accepting the return request, and the product price shall be refunded in the same way that the payment was made.

(7) In the event that the replacement request is accepted, the price difference between the product that was replaced and the new product chosen is taken into account, and if the price of the new product chosen is less than the price of the product that was replaced, the store will refund the price difference within 15 working days of the same The method of payment, but if the new product chosen has a price greater than the product that was replaced, the customer in this case must pay the price difference to the store using the payment methods approved by us.

Thirteenth: duties and taxes

(1) The store does not charge a fee for membership registration. "Wow" store offers free membership to customers.

(2) The store only collects the price of the products from the customers, and does not collect any fees or other costs except for the shipping cost (if any).

(3) The products that the customer gets from the store, including all the government taxes imposed, and a value-added tax of 5% of the invoice value that the store receives from the customer and then pays to the tax authorities is added to the invoice issued to the customer.

(4) In the event that electronic payment is used for the price of the products, the bank that the customer uses in the payment process may impose fees on money transfer, so the customer bears these fees.

Fourteenth: Ratings Policy

The store provides evaluation service and adding comments to customers after each purchase, in order to provide a better service to all of our customers, and it is required to add the following comments:

(1) Comments must be honest, legal and expressive of the service provided to the customer.

(2) It is prohibited to use illegal words, phrases or expressions during the evaluation process.

(3) It is prohibited to use logos, website names, other applications, or famous or unpopular trademarks during the evaluation process.

(4) It is prohibited to make comparisons between our services and those of our competitors in a way that offends us or competitors.

(5) It is prohibited to offend peoples, states, cultures, society, or any human, community or religious values during the evaluation process.

(6) It is prohibited to publish any advertisements or promotion of goods or services through the evaluation service of our store.

(7) The store reserves the right not to post comments if they are illegal or dishonest from our point of view.

(8) The store reserves the right to delete any comments posted if they violate the previous provisions or any of the terms and conditions, the sales agreement or the privacy policy.

(9) The store reserves its legal right to resort to court in case of offending us through the comment service.

Fifteenth: Copyright

(3) It is prohibited to reproduce "WOW" trademarks or commercial designs in any media or advertising without our written permission.

Seventeenth: Communications

(1) You agree to receive communications from us, and we will communicate with you by e-mail or mobile number, or by posting notices through the store or through other Wow store services.

(2) You agree that all agreements, notices, disclosures and other communications that we provide to you electronically fulfill all legal requirements as if these communications were in writing, and take their place in producing their legal effects.

(3) "WOW" store requires your agreement during the registration process for us to send messages to your e-mail, mobile phone or through the store for promotional purposes to inform you of any changes, new features or activities added to the store.

(4) If you decide at any time that you do not want to receive promotional messages, you can disable receiving these messages by emailing us, but in this case we do not guarantee that you will fully enjoy our services.

Eighteenth: Notices

(1) Any notices that you want to send to the "WOW" store must be sent through the specified means inside the store, and any notices sent outside the store are not considered.

(2) Any notices that "WOW" store wants to send to you, either by announcing them on the store or by sending them to you via the mobile number or e-mail that you provided us with during the registration process. An hour from the time the message was sent to you.

Nineteenth: Transfer of rights and obligations

Twenty: legal responsibility

(3) The penalties imposed by the "WOW" store on the parties to this agreement do not affect the right of each party to take all legal measures it deems appropriate according to its discretion without referring to us in any way and without any liability on the store.

(4) The customer is responsible under this agreement and according to the law, and he is obligated to indemnify us in the event that he submits fake or not serious purchase orders or whose purpose is to annoy us or waste our time, and he is legally responsible to the shipping companies in this case.

(5) If you violate this agreement, "WOW" store reserves the right to recover any amounts owed by you, and any losses or damages caused by you, and the store has the right to take legal measures or resort to the competent courts to file civil or criminal lawsuits against you.

(6) "Wow" store does not guarantee that it will take measures against all violations that may occur to this usage agreement, and our failure to take legal measures in any of the violation cases does not mean a waiver of our right to take these measures at any time we see appropriate.

Twenty-one: The Limits of Our Responsibility

(6) "WOW" store does not provide any guarantee and does not assume any responsibility regarding the timeliness, popularity, accuracy and quality of the information that the user receives or arrives at through the store.

(7) The responsibility for using or relying on the information that the user receives or accesses through the services of the "WOW" store rests entirely with this user.

(8) "Wow" store does not provide any guarantees that this store, its servers, or messages sent are free from viruses or other harmful components.

(9) "Wow" store cannot confirm that every user of the store is really the person claiming it.

(10) The store will not be responsible in all cases for any direct, indirect or consequential loss, loss of profits and goodwill, or damage whatsoever, as a result of disclosing your username and / or password.

Twenty-two: Compensation

(1) You agree to indemnify the "WOW" store, absolve it and defend it against all lawsuits and claims that may be filed or claimed by others as a result of your use of the store, or because of your violation of these terms and conditions or breaching the rights of other users.

(2) The store excludes from its warranties, terms and conditions any financial losses that may befall the customer, distortion of reputation, or any special damages arising from your misuse of the products or the store, and the store does not assume any responsibilities or claims in such cases.

(3) The "WOW" store and its officials and employees shall not be liable to you or any other party for any direct or indirect loss or for any other cost that may arise from or in connection with the implementation of the usage agreement, or in connection with the provision of our services.

(4) The user shall protect the "WOW" store and its employees, defend them and compensate them for any losses resulting from any lawsuit or claim related to the store or resulting from an act or negligence on the part of the user, his representatives or agents.

(5) You are obligated to compensate for any losses or damages that may be caused to the store as a result of any illegal or unauthorized use by us.

Twenty Three: Amendments

(1) The user is bound by the changes and modifications made by the store in the applicable policies, and he must accept any modifications that the "WOW" store deems necessary.

(2) We may at any time make any modifications or improvements that we deem necessary to the store to increase its effectiveness, and the user shall abide by any directions or instructions provided by the store to him in this regard.

(3) You may not change, amend, or replace any terms of this agreement without the written consent of "WOW" store.

(4) We may amend or update these terms and conditions "User Agreement" for the use of the store without notifying you of that; So you should review this agreement periodically.

(5) You agree to abide by all additional terms and conditions that will be made available to you that relate to the use of any of the services available through the store, and these additional terms and terms are incorporated into this agreement.

Twenty four: Cancel the agreement

The agreement is considered canceled on its own without the need for excuses or judicial action in any of the following cases:

(1) If it is proven that you violated any paragraph or clause of this agreement above, while preserving all our rights to claim compensation for the damages resulting from that.

(2) Assigning or subletting the account without our consent.

(3) The user's failure to fulfill any obligations stipulated in this agreement without taking serious measures to remove this breach, while preserving our right to claim compensation if it is relevant.

(4) Not being able to document any information that you have provided to us.

(5) If we decide at any time that your activities may cause you or other users of legal disputes.

(6) Stopping the store's activity, or the activity of those responsible for managing the store.

Twenty-five: The law is enforceable and the competent courts

(1) This agreement is governed by the laws in force and in effect within the Kingdom of Saudi Arabia.

(2) The judiciary within the Kingdom of Saudi Arabia shall have jurisdiction over any dispute that may arise from the interpretation or implementation of the provisions of this agreement.

(3) In the event that any provision of this agreement becomes invalid, unlawful or unenforceable, the legality and enforceability of the other provisions will not be affected in any way by that provision.

Twenty Six: The Language

(1) The Arabic text of this agreement is the approved text for the purposes of interpretation and application of its terms and conditions.

(2) In the event of a conflict between the Arabic text and the translated text of this agreement, it is agreed upon in this case to apply what came in the Arabic language.
